These Terms of Service (the "Terms") govern access to and use of the websites, application programming interfaces, software development kits, command-line tools, agent skills, user interfaces, smart-contract interactions, routing services, documentation, and related services made available under the Geodesics name (collectively, the "Services").
Please read these Terms carefully. Digital asset transactions involve significant risks, including the possible loss of all assets involved in a transaction. By accessing or using the Services, requesting a quote, connecting or using a wallet, using an API key, or submitting a transaction, you agree to these Terms. If you do not agree, do not use the Services.
1. WHO WE ARE AND HOW THESE TERMS APPLY
1.1. "Geodesics," "we," "us," and "our" refer to the operator of the Services made available through geodesics.ai and associated official interfaces. Geodesics is presently operated by its founder for and on behalf of a legal entity in the process of incorporation. Upon incorporation of that entity, these Terms and the rights and obligations under them are intended to be assigned to that entity in accordance with Section 21.4.
1.2. "User," "you," and "your" refer to any person or organisation that accesses or uses the Services, including developers, integrators, agent operators, and persons acting through automated systems.
1.3. These Terms form a legally binding agreement between you and Geodesics. If you use the Services for an organisation, you represent that you have authority to bind that organisation, and "you" includes that organisation.
1.4. Some features may be subject to additional documentation, order forms, service terms, or integration requirements. If additional terms conflict with these Terms, the additional terms control only for the feature or commercial relationship to which they apply.
1.5. Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded, including mandatory rights that may apply to consumers.
2. THE SERVICES
2.1. Geodesics provides non-custodial infrastructure for obtaining digital asset swap quotes and coordinating same-chain or cross-chain execution. Depending on availability, the Services may include:
- route discovery and quote generation across supported networks, exchanges, bridges, liquidity venues, and other protocols;
- preparation of transaction data or signed-message payloads;
- submission and status monitoring for user-authorised transactions;
- an API, SDK, CLI, agent skill, documentation, and other developer tools; and
- related testing, support, and integration services.
2.2. The Services may support EVM-compatible networks, Solana, and other networks identified in current documentation. Supported networks, assets, routes, venues, and features may change at any time.
2.3. Geodesics is not a bank, broker, exchange, custodian, fiduciary, investment adviser, tax adviser, or legal adviser. Geodesics does not provide personalised investment recommendations and does not guarantee that any route or transaction is suitable for you.
2.4. The Services may be offered in testing, beta, preview, or limited-access form. Such Services may be incomplete, changed without notice, or subject to additional failures and risks.
3. DEFINITIONS
3.1. "API Key" means a credential issued or approved for access to any Geodesics API.
3.2. "Digital Asset" means a blockchain-based token, coin, stablecoin, or other digital representation of value that may be supported by the Services.
3.3. "Quote" means an indicative or executable response describing a proposed route, expected output, fees, gas treatment, price impact, timing, expiry, and other transaction parameters.
3.4. "Route" means the proposed sequence of blockchain transactions, smart contracts, exchanges, bridges, liquidity venues, relayers, or other third-party systems used to perform a swap.
3.5. "Third-Party Service" means any blockchain, wallet, smart contract, decentralised exchange, bridge, liquidity provider, oracle, relayer, infrastructure provider, or other service not controlled by Geodesics.
3.6. "Transaction" means a user-authorised on-chain or cross-chain operation submitted through or with assistance from the Services.
3.7. "Wallet" means a self-custodial or third-party digital asset wallet or agent-controlled account used to sign messages or transactions.
4. ELIGIBILITY AND RESTRICTED USE
4.1. You may use the Services only if you:
- are at least 18 years old and have legal capacity to enter into these Terms;
- possess sufficient knowledge to understand digital assets, wallets, smart contracts, and the risks described in these Terms, or act with qualified professional assistance;
- use the Services in compliance with all laws, regulations, court orders, and binding obligations applicable to you; and
- are not prohibited from using the Services under applicable sanctions, export-control, anti-money-laundering, counter-terrorist-financing, or other laws.
4.2. You may not use the Services if you are located in, ordinarily resident in, organised under the laws of, or acting for a person in a jurisdiction where your use would be unlawful or would require Geodesics to obtain a licence or registration that it does not hold.
4.3. You represent that you are not subject to applicable sanctions and are not owned or controlled by, or acting on behalf of, a sanctioned person. You must not use the Services to transact with a sanctioned person or prohibited jurisdiction.
4.4. Geodesics may apply geographic, wallet, asset, transaction, or access restrictions where reasonably necessary for legal, compliance, security, or operational reasons.
5. ACCESS, API KEYS, AND AUTOMATED SYSTEMS
5.1. You are responsible for all activity conducted with your API Keys, Wallets, agent credentials, systems, and integrations, whether authorised by you or not, except to the extent caused by Geodesics' breach of a non-excludable legal duty.
5.2. You must keep API Keys, signer credentials, private keys, recovery phrases, and access credentials confidential and secure. Do not transmit private keys or recovery phrases to Geodesics. If official documentation requires a signing credential to be configured, you must store and use it only in the documented environment and apply appropriate access controls.
5.3. You must notify Geodesics promptly through the official contact channels on geodesics.ai if you suspect unauthorised use of an API Key or a security incident affecting your integration.
5.4. You are responsible for setting appropriate signing policies, spending limits, allowlists, slippage limits, transaction limits, review controls, and other safeguards for agents or automated systems.
5.5. Automated access must comply with published rate limits, technical requirements, and acceptable-use restrictions. Geodesics may throttle, suspend, rotate, or revoke API credentials to protect the Services or third parties.
5.6. You are responsible for testing your integration before production use and for monitoring your agents, transaction submissions, errors, warnings, and settlement status.
6. NON-CUSTODIAL NATURE OF THE SERVICES
6.1. Geodesics does not take custody of your Digital Assets, private keys, or recovery phrases. Transactions are authorised by you or by a signer or automated system that you control or appoint.
6.2. Geodesics may construct or coordinate transaction steps, but it cannot initiate a Transaction without the required authorisation, reverse a confirmed blockchain transaction, restore a lost private key, or recover assets sent to an incorrect address or unsupported network.
6.3. Assets may move through smart contracts, exchanges, bridges, liquidity venues, relayers, or other Route components. Use of those components does not make Geodesics a custodian of your assets.
6.4. You remain responsible for your Wallet, signing authority, transaction instructions, asset ownership, source and destination addresses, and compliance obligations.
7. QUOTES, ROUTES, AND TRANSACTIONS
7.1. A Quote is based on information available when it is generated. Market prices, liquidity, gas conditions, bridge conditions, and network status may change before execution. Unless expressly stated otherwise, a Quote is not guaranteed until the relevant transaction is validly submitted and accepted by all required systems.
7.2. Quotes may expire and may be subject to minimum or maximum amounts, slippage limits, route availability, asset restrictions, wallet activation steps, or other conditions shown in the Quote or documentation.
7.3. Geodesics may select a Route using expected output, fees, gas treatment, speed, reliability, liquidity, risk controls, or other parameters. "Best" or similar language refers only to the routing criteria applied at that time and does not promise the highest possible return or a risk-free outcome.
7.4. Before authorising a Transaction, you must verify all material details, including the input and output assets, networks, amounts, Wallet addresses, slippage, fees, approvals, allowances, and Route.
7.5. Once submitted, a Transaction may be irreversible. A Transaction may remain pending, fail, be replaced, settle partially, settle later than expected, be refunded by a third-party mechanism, or require additional action.
7.6. Status information is provided for convenience and may be delayed or incomplete. You should independently verify material transaction status using the relevant blockchain and official transaction identifiers.
7.7. Geodesics may decline to quote, build, submit, or monitor any transaction for compliance, risk, liquidity, technical, or operational reasons.
8. FEES, COSTS, AND TAXES
8.1. A Quote may include or reflect Geodesics fees, network gas, liquidity-provider fees, exchange fees, bridge fees, relayer costs, price impact, or other Route costs. Available fee information will be shown in the Quote or applicable documentation where reasonably practicable. Fee discounts connected to GEO holdings are governed by the utility terms published at geodesics.ai/geo, which apply as additional terms under Section 1.4.
8.2. Some Routes may deduct fees or gas costs from the input amount. "Gasless" means that you may not need to hold a separate native gas token for the relevant step. It does not mean that network execution has no economic cost.
8.3. Third-party and network fees are determined by systems outside Geodesics' control and may change without notice. Failed or reverted transactions may still incur network costs.
8.4. Unless required by law or expressly agreed otherwise, fees and on-chain costs are non-refundable after the relevant service or transaction has been initiated.
8.5. You are solely responsible for determining and paying taxes, duties, reporting obligations, and other governmental charges arising from your use of the Services or Digital Asset activity.
9. THIRD-PARTY SERVICES
9.1. Routes depend on Third-Party Services. Geodesics does not own or control those services and does not guarantee their security, liquidity, availability, performance, legality, or continued operation.
9.2. Third-Party Services may have separate terms, privacy notices, fees, governance processes, and risk disclosures. You are responsible for reviewing and accepting them where applicable.
9.3. A failure, exploit, governance action, upgrade, fork, outage, censorship event, liquidity shortfall, oracle error, bridge failure, or other event involving a Third-Party Service may cause delay, failure, or loss.
9.4. Links, integrations, or references to a Third-Party Service do not constitute endorsement, warranty, or responsibility for that service.
10. USER OBLIGATIONS
10.1. You must:
- provide accurate information and transaction instructions;
- maintain adequate Wallet and system security;
- independently evaluate Quotes, Routes, assets, and protocols;
- keep software and dependencies reasonably current;
- comply with rate limits and technical documentation;
- retain records needed for legal, accounting, tax, and security purposes; and
- promptly stop use and notify Geodesics if you identify a material vulnerability or unauthorised activity.
10.2. You are responsible for all decisions made by an agent or automated system configured, operated, or authorised by you. You must implement human review where appropriate for your risk profile and legal obligations.
11. PROHIBITED CONDUCT
11.1. You must not use or attempt to use the Services to:
- violate any law, regulation, sanctions restriction, court order, or third-party right;
- launder proceeds, finance terrorism, evade taxes, facilitate fraud, manipulate markets, or conceal unlawful activity;
- access another person's Wallet, API Key, system, or data without authority;
- exploit, probe, or publicly disclose a vulnerability contrary to responsible-disclosure instructions;
- interfere with, overload, disrupt, scrape, or circumvent security, rate limits, access controls, or fees;
- submit malicious code, false data, deceptive transactions, or abusive traffic;
- impersonate another person or misrepresent affiliation with Geodesics;
- use the Services to create a competing service by copying non-public interfaces, data, or functionality in breach of applicable rights; or
- assist any person in doing the above.
11.2. Geodesics may investigate suspected violations and cooperate with courts, regulators, law enforcement, infrastructure providers, or affected third parties where legally permitted or required.
12. RISK DISCLOSURE
12.1. You understand and accept that Digital Asset transactions are high risk. Risks include:
- extreme price volatility, slippage, price impact, and loss of value;
- insufficient or fragmented liquidity;
- smart-contract bugs, exploits, malicious code, or unexpected behaviour;
- bridge, exchange, relayer, oracle, wallet, RPC, infrastructure, or validator failures;
- blockchain congestion, reorganisation, fork, finality, censorship, or outage;
- transaction simulation or status information that differs from final execution;
- unsupported, fraudulent, non-transferable, fee-on-transfer, rebasing, or malicious tokens;
- incorrect token addresses, decimals, network selection, recipient addresses, or approvals;
- signature compromise, key loss, phishing, malware, or unauthorised agent activity;
- changes in law, regulation, taxation, sanctions, or protocol governance;
- inability to reverse, cancel, or recover a Transaction; and
- total loss of the assets involved.
12.2. Cross-chain transactions add risks that do not arise in a simple same-chain swap, including bridge security, message delivery, finality differences, relayer availability, destination-chain conditions, and multi-step settlement.
12.3. Timing estimates are estimates only. Settlement may be faster or slower than displayed, and no completion time is guaranteed.
12.4. You must conduct your own due diligence and obtain independent financial, legal, tax, technical, and security advice where appropriate.
13. INTELLECTUAL PROPERTY AND LICENCE
13.1. Geodesics and its licensors retain all rights in the Services, software, APIs, documentation, design, branding, trademarks, content, and technology, excluding open-source components and third-party materials governed by their own licences.
13.2. Subject to these Terms and any applicable commercial terms, Geodesics grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose.
13.3. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or attempt to extract source code except to the extent expressly permitted by applicable law, an applicable open-source licence, or an applicable third-party content licence.
13.4. If you submit feedback, you grant Geodesics a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided Geodesics does not publicly identify you without permission.
14. PRIVACY
14.1. The Geodesics Privacy Policy explains how personal data is processed in connection with the Services and is incorporated into these Terms by reference.
14.2. Public blockchain transactions are visible to anyone and may be permanently retained by decentralised networks. Geodesics cannot alter or delete data recorded on a public blockchain.
14.3. You must not include unnecessary personal data, confidential information, private keys, or secrets in public transaction fields, token metadata, support requests, or other submissions.
15. SUSPENSION, TERMINATION, AND SERVICE CHANGES
15.1. Geodesics may suspend, limit, or terminate access to all or part of the Services where reasonably necessary to:
- protect users, Geodesics, or Third-Party Services;
- address suspected unlawful, abusive, or insecure activity;
- comply with law, a court order, sanctions, or a regulatory request;
- enforce these Terms, rate limits, or technical requirements; or
- respond to maintenance, incidents, provider changes, or discontinuation.
15.2. You may stop using the Services at any time. Stopping use does not reverse submitted Transactions or eliminate obligations that arose before termination.
15.3. Geodesics may add, modify, restrict, or discontinue features, networks, assets, Routes, interfaces, or the Services. Where reasonably practicable, material changes will be communicated through official channels.
16. DISCLAIMERS
16.1. To the maximum extent permitted by law, the Services are provided "as is" and "as available" without any express, implied, or statutory warranty.
16.2. Geodesics does not warrant that the Services will be uninterrupted, secure, error-free, accurate, complete, compatible with your systems, or suitable for a particular purpose.
16.3. Geodesics does not warrant any Digital Asset, Quote, Route, Third-Party Service, execution result, price, output amount, completion time, or economic outcome.
16.4. Information provided through the Services is technical and informational only and is not financial, investment, legal, accounting, or tax advice.
17. LIMITATION OF LIABILITY
17.1. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Swiss law, including liability for intentional misconduct or gross negligence.
17.2. To the maximum extent permitted by law, Geodesics and its affiliates, personnel, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, business, opportunity, goodwill, data, or Digital Assets; or losses caused by a Third-Party Service, even if advised of the possibility.
17.3. To the maximum extent permitted by law, Geodesics' aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:
- the fees paid directly to Geodesics by you for the affected Services during the twelve months before the event giving rise to the claim; or
- CHF 100.
17.4. The limitations in this Section apply regardless of the legal theory and reflect the allocation of risk between the parties. If a limitation is unenforceable, it will apply to the maximum extent permitted by law.
18. INDEMNITY
18.1. To the extent permitted by law, you will indemnify and hold harmless Geodesics and its affiliates, personnel, and contractors from third-party claims, losses, liabilities, penalties, and reasonable legal costs arising from:
- your unlawful or unauthorised use of the Services;
- your breach of these Terms;
- your Wallet, agent, automated system, instructions, or integration;
- your violation of another person's rights; or
- content, data, or transactions you submit.
18.2. This obligation does not apply to the extent a claim results from Geodesics' intentional misconduct, gross negligence, or breach of a non-excludable legal duty.
18.3. Geodesics will give reasonable notice of an indemnified claim and may participate in its defence. You may not settle a claim in a way that admits fault by or imposes an obligation on Geodesics without prior written consent.
19. CHANGES TO THESE TERMS
19.1. Geodesics may update these Terms to reflect changes in the Services, law, security, risk, or business practices. The updated Terms will state a new effective date and be made available through official channels.
19.2. Material changes will apply prospectively. Your continued use after revised Terms take effect constitutes acceptance to the extent permitted by law. If you do not agree, stop using the Services.
20. SWISS LAW AND DISPUTE RESOLUTION
20.1. These Terms and any non-contractual obligations arising from them are governed exclusively by the substantive laws of Switzerland, without regard to conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.
20.2. Before commencing arbitration, a party must give written notice describing the dispute and allow at least 30 days for good-faith negotiations, unless urgent interim relief is required.
20.3. Any dispute, controversy, or claim arising out of or relating to these Terms, including their validity, breach, or termination, shall be resolved by arbitration in accordance with the Swiss Rules of International Arbitration of the Swiss Arbitration Centre in force when the Notice of Arbitration is submitted.
20.4. The tribunal shall consist of one arbitrator. The seat of arbitration shall be Zurich, Switzerland. The proceedings shall be conducted in English. The award shall be final and binding.
20.5. Either party may seek urgent or interim protective relief from a competent court. Nothing in this Section prevents a data subject from exercising rights or bringing proceedings in a forum that cannot lawfully be waived.
21. GENERAL TERMS
21.1. These Terms and incorporated documents are the entire agreement concerning the Services and supersede prior communications on that subject.
21.2. If any provision is invalid or unenforceable, it will be limited or replaced to the minimum extent necessary, and the remaining provisions will continue in effect.
21.3. A failure to enforce a provision is not a waiver. A waiver must be explicit and in writing.
21.4. You may not assign these Terms without Geodesics' prior written consent. Geodesics may assign these Terms in connection with a reorganisation, financing, merger, acquisition, sale of assets, or transfer of the Services.
21.5. Geodesics is not liable for delay or failure caused by events beyond reasonable control, including network failures, provider outages, cyberattacks, governmental action, labour disputes, natural disasters, or war.
21.6. These Terms do not create a partnership, joint venture, agency, employment, fiduciary, or beneficiary relationship.
21.7. Sections concerning risk, intellectual property, privacy, liability, indemnity, dispute resolution, and provisions that by nature should survive will survive termination.
21.8. The English version controls if a translation differs.
