Important information#
At the start of trading, an anti-sniper mechanism applies a buy-side tax that begins at 99% and declines to 1% over the first 10 minutes. Purchases during this window can result in severe immediate loss. See Section 6.2.
This document provides factual information about GEO, its intended utility, distribution, launch mechanics and risks. It does not constitute investment, legal or tax advice.
GEO is a crypto-asset. Its market value can fall substantially or reach zero. GEO may have limited liquidity, and holders may be unable to sell at their preferred time or price.
GEO does not represent equity, ownership, governance rights or a claim against Geodesics. The project does not offer redemption of GEO for money or other assets.
GEO-specific acquisition materials and any acquisition functionality made available by Geodesics are not directed at persons located or established in the European Union or wider European Economic Area (EU/EEA).
Prospective holders should review this disclosure, the deployed token contract and the current utility terms before acquiring GEO.
1. Overview#
GEO is the utility token of Geodesics. Its initial utility provides eligible holders with discounts on applicable Geodesics platform fees.
GEO will launch on Robinhood Chain through Virtuals on 23 July 2026. The launch configuration provides a fixed maximum supply of 1,000,000,000 GEO.
The planned distribution is:
- 500,000,000 GEO for liquidity.
- 250,000,000 GEO for Automated Capital Formation.
- 250,000,000 GEO for the team.
Geodesics will not conduct a presale or private token sale. The project does not plan an airdrop or a centralized-exchange listing. Users can acquire GEO through its public onchain market after trading opens.
Holding GEO is optional. Users can access Geodesics without GEO and pay the standard applicable platform fee.
2. Geodesics#
Geodesics develops software for preparing and coordinating same-chain and cross-chain digital-asset transactions.
Geodesics is developed and operated by a team led by its sole founder, who directs product development, operations, project communications, the GEO utility program and the project treasury.
Geodesics is presently an unincorporated project. Its founder is undertaking the deployment of GEO and the related launch activities for and on behalf of the token-issuing entity currently being incorporated. Until that entity is incorporated, all token-related assets and proceeds are held in a dedicated project wallet solely for the account and benefit of the intended token-issuing entity. Following incorporation, the relevant token-related rights, obligations and treasury assets are intended to be formally adopted, transferred or allocated to that entity.

Virtuals provides the launch infrastructure and token-distribution mechanisms. Robinhood Chain provides the blockchain network. Uniswap provides the expected decentralized market infrastructure. Geodesics does not control these third-party systems.
3. The Geodesics platform#
Geodesics develops non-custodial software for presenting swap quotes, constructing exact transaction operations and reporting transaction status. A user or software agent supplies the intended assets, amount, networks and destination.
Independent infrastructure generates the route and quote data. Geodesics uses the returned route and the user's parameters to construct the operation that the wallet will review and authorize.
For a Virtuals/Privy wallet, the user configures the wallet and grants any required scope through that wallet environment. The signer private key remains within the Virtuals/Privy wallet environment. A self-managed wallet signs locally with the user's own private key. Geodesics receives neither type of key and holds no wallet-admin key capable of signing user transactions.
The client returns the signature or signed transaction to the Geodesics API. For EVM flows, Geodesics assembles the final package and forwards it to independent execution infrastructure without changing the signed parameters. An independent solver broadcasts the EVM transaction.
For Solana-origin swaps, Geodesics submits the user-signed transaction to the Solana network unchanged and may re-submit the identical signed transaction until it is included or expires; no third-party solver performs that broadcast. Delivery on the destination chain is then performed by upstream execution infrastructure, as with all other routes.
Geodesics tracks the resulting status and may retry only the identical signed package. A changed route, amount, destination or call requires a new user signature.
Geodesics does not operate the blockchains, decentralized exchanges, bridges or liquidity venues used by a transaction. Route information is technical information and is not a personalized recommendation about whether a user should buy, sell or hold a crypto-asset.
Builders can access Geodesics through an agent skill, SDK or API. Virtuals agents have a direct integration path. Other builders can use supported wallets and integrations.
3.1 Supported networks#

The contract creates the complete GEO supply during deployment. Neither Geodesics nor Virtuals can create additional GEO through the expected token implementation after that deployment.
Holders may be able to burn their own GEO. Burning reduces the total supply and does not create a claim against Geodesics.
GEO exists on Robinhood Chain. Robinhood describes Robinhood Chain as a permissionless, EVM-compatible Arbitrum Layer 2 built on Ethereum. The network uses ETH as its native gas token.

There is no presale allocation, private-sale allocation or airdrop allocation.
5.1 Liquidity allocation#
Virtuals will allocate 500,000,000 GEO to the initial liquidity and market mechanism. This represents 50% of the maximum supply.
Virtuals will create the initial market under the selected launch configuration. The expected market pairs GEO with VIRTUAL on Uniswap.
The final liquidity amount, pool address, paired asset and liquidity controls will be verified from the deployed contracts after launch.
Liquidity availability does not guarantee that holders can buy or sell any amount without price impact.
5.2 Automated Capital Formation#
Geodesics will not conduct a presale or private sale. However, 25% of the GEO supply is allocated to Virtuals' Automated Capital Formation mechanism, under which GEO is sold automatically as predetermined fully diluted valuation milestones are reached and the resulting USDG proceeds are paid to the designated project treasury wallet. Reaching any milestone is uncertain, and the full allocation may never be sold.

5.3 Team allocation#
The "team" allocation is the launch-configuration category used by the Virtuals infrastructure. These tokens vest to wallets controlled by the founder, who may allocate portions to project contributors.
The team allocation is 250,000,000 GEO, representing 25% of the maximum supply.
The selected supply schedule locks this allocation for 1 year after launch. Release begins on or around 23 July 2027 and continues over 6 months. The applicable vesting contracts determine the exact release intervals and claim dates.
Vested tokens may be held, transferred or sold. Any sale can affect the market price and available liquidity.
6. Launch and trading mechanics#
6.1 Launch#
GEO is scheduled to launch through Virtuals on Robinhood Chain on 23 July 2026.
Geodesics will not provide a presale, guaranteed allocation or redemption facility. Trading will open through the public launch mechanism.
Participation through a decentralized market does not mean that acquiring GEO is lawful in every jurisdiction. Each user must determine whether local laws permit the acquisition, holding and use of GEO.
6.2 Anti-sniper window#
The selected launch configuration applies a 10-minute anti-sniper window.
At the start of trading, the buy-side transaction tax begins at 99% and declines to the 1% baseline during the 10-minute window. The sell-side tax remains at the baseline rate of 1%.
A buyer who interacts while the tax remains close to 99% will receive a small portion of the GEO that the same input could purchase after the protected window. Price impact, network costs and third-party fees can reduce the received amount further.
Users should inspect the current tax rate before submitting a transaction. Blockchain transactions are generally irreversible.
6.3 Anti-sniper buybacks#
Virtuals uses the anti-sniper tax collected during the protected window to purchase GEO from the public market. These purchases use GEO already in circulation and do not increase the maximum supply.
Virtuals sends the repurchased GEO to a vesting allocation associated with the team wallet. The expected schedule applies a 3-month cliff followed by linear release over 9 months.
The buyback tokens are separate from the original 25% team allocation. The team's eventual holdings may exceed 25% of the supply even though the maximum supply remains fixed.
The buybacks do not burn GEO and do not give existing holders a direct claim on the repurchased tokens. Virtuals controls the execution timing and technical process.
6.4 Continuing transaction tax#
After the anti-sniper window, the expected transaction tax is 1%.

The transaction tax applies to onchain GEO trading. It is separate from network gas, liquidity-provider fees, price impact and Geodesics platform fees.
The token contract may collect GEO and convert it through the relevant market mechanism before distributing the resulting proceeds. Distributions of collected tax proceeds are made in USDG.
6.5 Market availability#
Geodesics does not plan to seek a centralized-exchange listing. A third party may list GEO without approval from Geodesics.
Users can interact with the token through public smart contracts or supported third-party interfaces. Geodesics cannot guarantee continued availability through Virtuals, Uniswap, a wallet or another interface.
7. GEO utility#
From launch, wallets holding GEO can qualify for discounts on applicable Geodesics platform fees.
Geodesics determines eligibility by checking the relevant wallet balance under the current utility rules. Users do not need to spend, transfer or lock GEO unless the terms published for a specific perk state otherwise.
Holding GEO is optional. Users can access Geodesics without GEO and pay the standard applicable fee.
The discount applies only to fees charged by Geodesics. It does not reduce:
- Blockchain gas costs.
- DEX or liquidity-provider fees.
- Bridge or relayer costs.
- GEO transaction taxes.
- Price impact or slippage.
Geodesics publishes the current balance requirements, discount levels, eligible services and any additional perks at geodesics.ai/geo.
The standard Geodesics platform fee at launch is 12.5 basis points (0.125%) of the swap input amount, charged on eligible same-chain and cross-chain swap routes executed through the Geodesics platform. The current fee, eligible routes and discount schedule are published at geodesics.ai/geo.
The initial discount schedule is:
- Wallets holding at least 10,000 GEO qualify for a 10% discount.
- Wallets holding at least 100,000 GEO qualify for a 25% discount.
- Wallets holding at least 1,000,000 GEO qualify for a 50% discount.
These percentages apply only to the 0.125% Geodesics platform fee described above. They do not apply to the 1% GEO transaction tax or any other cost component.
Initial GEO utility schedule. Geodesics may change thresholds or discounts for future quotes, with reasonable notice, for operational, security or legal reasons. The core fee-discount utility will remain available while the relevant service operates. Quote-specific eligibility and discounts apply only to that quote.
Holding GEO does not guarantee a fixed discount percentage, fee level or any additional perk beyond the core utility described above.
8. Holder rights#
GEO provides access to the utility described in Section 7, subject to the current terms published by Geodesics.
The exclusions below do not limit the specific GEO utility described in Section 7.
GEO does not provide:
- Equity or ownership in Geodesics.
- Voting or governance powers.
- Dividends, interest or profit-sharing.
- A claim on project revenue or treasury assets.
- Intellectual-property rights.
- A right to repayment or redemption.
- A guarantee of liquidity or future market value.
GEO holders do not control how Geodesics uses project revenue, ACF proceeds, transaction-tax revenue or the team allocation.
Holding GEO does not create an employment, partnership, agency, fiduciary or joint-venture relationship with Geodesics.
9. Project treasury and use of funds#
The project treasury may receive:
- USDG generated through Automated Capital Formation.
- The Geodesics share of the continuing transaction tax.
- Vested team tokens.
- Vested GEO acquired through anti-sniper buybacks.
- Revenue from Geodesics products and services.
Geodesics may use treasury resources for product development, operations, marketing, legal costs, security work and contributor compensation.
Geodesics does not commit to spending fixed percentages on any category. Priorities may change based on product needs, available resources, security conditions and legal requirements.
The treasury wallet uses hardware-wallet security.
The project has no obligation to use treasury assets to support the market price of GEO, provide liquidity or repurchase tokens.
Pending incorporation, the treasury wallet is controlled by the founder on an interim basis solely for the account and benefit of the intended token-issuing entity, and its assets and control are intended to be transferred to that entity promptly following incorporation.
10. Technology and administrative controls#
10.1 Token contract#
GEO will use token infrastructure deployed through Virtuals on Robinhood Chain. The expected implementation creates the fixed supply during initialization and does not expose a public function for additional minting.
The token contract may permit holders to burn their own GEO or GEO covered by an allowance.
Geodesics will publish the deployed contract address at geodesics.ai/geo. Users should verify the address before interacting with GEO.
10.2 Administrative permissions#
The Virtuals token template available before launch includes functions that the token owner, Virtuals factory or other authorized addresses may control.
Depending on the final deployment, these functions can include:
- Updating buy-side and sell-side tax rates.
- Changing the project tax recipient.
- Restricting transfers to selected recipient addresses.
- Adding or removing recognized liquidity pools.
- Managing authorized contract callers.
- Distributing accumulated tax tokens.
These controls do not permit additional GEO minting under the expected implementation. They can still affect transferability, transaction costs and market access.
The selected 1% continuing tax reflects the expected launch setting. Administrative permissions may allow an authorized party to change that setting after launch.
Geodesics executes the token deployment through Virtuals' launchpad and is the deployer of record, but it is not the owner of the proxy token contract. Geodesics holds none of the administrative permissions listed above and cannot call owner functions, change tax rates or recipients, or modify the deployed contract.

10.3 Third-party infrastructure#
GEO and Geodesics depend on Virtuals, Robinhood Chain, Uniswap, wallet and RPC providers, and connected smart contracts.
Geodesics cannot guarantee the security, availability or continued operation of those systems. Virtuals may change, suspend or remove launchpad features under its terms. The GEO token can remain onchain even if a third-party interface stops displaying it.

10.4 Contract verification#
Geodesics will use the Virtuals token implementation and its published source code. The project will not publish a separate GEO-specific token audit at launch.
Public source-code verification does not prove that a contract has no defects. Users should review the deployed code, proxy implementation and administrator addresses.
11. Risk factors#
11.1 Loss of value#
GEO can lose some or all of its market value. Geodesics does not promise price appreciation, trading volume or a minimum market capitalization.
11.2 Launch-tax risk#
The anti-sniper tax can consume most of a purchase made near the start of trading. A transaction executed while the buy tax remains near 99% can result in a severe immediate loss. Wallets and interfaces may display stale tax information. Users should verify the applicable rate before authorizing a transaction.
11.3 Liquidity risk#
The liquidity pool may not support a holder's intended transaction size. A trade can experience price impact, slippage or failure. Liquidity can decline because of market activity, technical problems or changes to third-party protocols.
11.4 ACF and supply-release risk#
The ACF mechanism can release up to 250,000,000 GEO through automated sales as valuation milestones are reached. Team vesting can release another 250,000,000 GEO. These releases can increase available supply and create selling pressure.
11.5 Team-concentration risk#
The team receives a 25% allocation. Anti-sniper buybacks can increase its eventual holdings. This concentration can create conflicts between the team and other holders. Sales from team-controlled wallets can affect price and liquidity.
11.6 Utility risk#
The value of GEO's fee discount depends on the Geodesics platform, applicable fees, wallet-balance requirements and user demand. Geodesics can change or withdraw discount levels and other perks. Platform interruption or discontinuation could reduce or remove GEO's utility.
11.7 Smart-contract risk#
The GEO contract, Virtuals contracts, Uniswap contracts and connected infrastructure may contain bugs or vulnerabilities. An exploit, configuration error or failed upgrade can cause loss, transfer restrictions or disruption.
11.8 Administrative-control risk#
Authorized addresses may control tax settings, tax recipients, address restrictions and liquidity-pool recognition. Compromise or misuse of an administrator key can increase transaction costs, redirect revenue or prevent transfers to selected addresses.
11.9 Treasury-key risk#
The project treasury depends on a single signing authority. Loss or compromise of that authority could result in loss or misuse of treasury assets.
11.10 Third-party risk#
GEO depends on Virtuals, Robinhood Chain, Uniswap and other infrastructure providers. Geodesics cannot control their code, availability or business decisions. A third party may experience an outage, exploit, regulatory restriction or discontinuation.
11.11 Blockchain risk#
Robinhood Chain and Ethereum may experience congestion, reorganization, sequencer interruption, software defects or changes to network rules. Transactions can fail, remain pending or settle later than expected.
11.12 Regulatory and tax risk#
Authorities may change how they classify or regulate GEO, utility tokens, decentralized markets or the Geodesics platform. New rules or enforcement actions can restrict access, increase costs or require changes to the token or platform. Holders remain responsible for their own reporting and tax obligations.
11.13 Wallet and user-error risk#
Blockchain transactions are generally irreversible. Sending GEO to the wrong address or network can result in permanent loss. Phishing, malware, compromised devices and malicious token copies can cause users to approve harmful transactions.
11.14 Information risk#
Launch settings may change before deployment because of Virtuals platform requirements or technical constraints. The deployed contracts determine the token's mechanical behavior. Geodesics will update this disclosure if the final configuration differs from the information stated here.
12. Environmental considerations#
GEO does not operate a separate blockchain or mining system. GEO transactions use Robinhood Chain's shared infrastructure.
Robinhood Chain is an Arbitrum Layer 2 built on Ethereum. It processes transactions through its Layer 2 infrastructure and posts data to Ethereum. GEO therefore contributes to the resource use of Robinhood Chain, its sequencer, data infrastructure and Ethereum settlement.
The environmental impact attributable to a single GEO transaction depends on shared network use and cannot be separated from the broader network infrastructure with precision.
13. Updates and official information#
Geodesics may update this disclosure when token mechanics, utility terms, project operations or material risks change.
Each update will show a new version number and information date. Geodesics will retain or identify older versions so readers can distinguish current information from outdated information.
After launch, Geodesics will publish the official GEO contract address and other verified onchain information at geodesics.ai/geo.

Token names and tickers are not unique. A third party can create a token with the same name or symbol. Users should verify the contract address before acquiring or transferring GEO.
